Assembly of Grupo Argos authorized the Board of Directors to deliberate and decide on the takeover bid for Grupo Nutresa

• In compliance with the corporate governance framework of Grupo Argos, the Shareholders’ Meeting authorized Ana Cristina Arango, member of the company’s Board of Directors, to deliberate and decide on the takeover bid for Grupo Nutresa.
• Likewise, the Assembly of Grupo Argos took note of the update of the information presented by Dr. Claudia Betancourt and authorized her to deliberate and decide, in her capacity as a member of the Board of Directors of Grupo Argos, regarding the Offer.
• Five members of the Grupo Argos Board of Directors will participate in the deliberation and decision.

This Wednesday, November 16, in an extraordinary meeting, the Shareholders’ Assembly authorized Ana Cristina Arango and Claudia Betancourt to participate in the deliberation and decision on the OPA for common shares of Grupo Nutresa.

The Board of Directors of Grupo Argos will carry out a comprehensive analysis of the offer, considering, among others, the studies carried out by a group of national and international advisors on its economic, legal and strategic alignment aspects. The decision will be informed in a timely manner.
